Corporate Area
Our firm provides complete corporate solutions to clients beginning from structure advisory to reorganization, repatriation and winding up. We advise clients on straightforward and strategic incorporation with respect to most efficient tax and regulatory structure. Our recent incorporation clients include HP, Dell, GAP, Forever21, Maxim, NT, Casino, Children’s Place, Decathlon etc. Our firm is leading M&A sector with almost over twenty-three domestic/international M&A transactions completed in May, 2010 – March, 2011 period. In most of the transactions Doulah & Doulah performed M&A due diligence over the target companies and facilitated a successful negotiation / finalization where applicable. Clients in these matters include leading international houses like GSK, Mitsubishi, AES, Covanta, Serial Systems etc. In May, 2010 – March, 2011 period. Doulah & Doulah has been appointed by KPMG in liquidating the Lehmann Brothers entities, in connection to its underlying assets in Bangladesh. Other transactions involve restructure of companies like Khulna Power Company Ltd., Best Air, UPS, Bengal Tiger Cement Industries Ltd. etc. in recent times. Winding up assignments include Fritz, TCS etc.

We also advise our clients on tax issues with respect to tax holidays, waivers and efficient structure towards exit/restructure and work for them towards maximum utilization of the investment incentives available. Recently we successfully handled a tax issue for EL Paso on its waiver of tax on its capacity of investment in power sector in Bangladesh. We maintain very close relationship with Board of Investment and Registrar of Companies to ensure smooth handling of our matters.

Projects & Corporate Finance
Our firm specializes in finance matters. We advise efficient financing structures in light of regulatory compliances in Bangladesh. We have wide experience in alternative financing methods such as debt financing, royalty, technical assistance, agency etc. Our firm has been involved in most complex finance transactions in Bangladesh. Recently we worked for Liberty Commodities on its supplier credit arrangement with a local conglomerates involving two banks and it is treated as one of the most complex financing transaction. We also advised a number of financiers in some of the biggest syndicated lending transactions in Bangladesh. Securitization is an integral part of finance transaction and in this respect we have significant experience and working for clients like Royal Bank of Canada, Export Canada, ICICI, Maxim etc.

We work as legal consultants to large infrastructure projects. At the moment we are working on three power project for Abener and one Airport project for Akariyah. Recently we completed an international project on container terminal construction in Chittagong Port. Other completed projects include Chittagong Urea Fertilizer, Sylhet Pulp & Paper Mills, Baghabari Barge Mounted Power Plant, Jamuna Bridge, Jamuna Fertlizer Plant, Baghabari Barge Mounted Power Plant, Mymensing Combined Cycle Power Plant etc. We also advise real estate developers on big projects with respect to land development and building constructions. Recently we advise formation of a tax efficient international joint venture for the biggest government real estate project i.e. Uttara Apartment Project. We are also working for Hyatt on its hotel project in Bangladesh, which is supposed to be the biggest hotel in Bangladesh.

Labour and environment compliances are integral part of all sorts of projects. We have significant experience in dealing with such issues. We ensure labour, employment, HSE and environment compliance in straight forward projects.
